SPECIAL MEETING

                                                                                                                        August 14, 1947

A special meeting of City Council was held in City Hall on August 14 at 2:00 P.M. with Vice Mayor Keith presiding. The following members were present: Messrs. Keith, Vane, mikell, Carson, Hartnett, and Mrs. Frear.

Minutes

Without objection the minutes of the last regular and all special meetings was dispensed with.

Power Situation

Mr. Plank and Mr. Pyle of the Delaware Power & Light Company, together with Mr. Heinz & Mr. Finsen of International Latex Corp. met with City Council to discuss the proposed contract with D. P. & L. to furnish excess electrical energy to Dover. A lengthy discussion was entered into and several proposals offered. Council objected to the clause which penalized the City of Dover if any attempts were made to buy additional generating equipment or buy land to erect a new plant. Mr. Heinz of International Latex also felt that this penalty was too severe. He suggested that the City enter into a 3-4 or 5 year contract for the City to buy all of its current over that which the 2500 KW would produce. Since the contract which was presented was not satisfactory it was decided to recess until called by the City Clerk. Upon motion of Mr. Carson seconded by Mr. Hartnett the Vice Mayor was instructed to appoint a committee to meet with D. P. & L. to try to draw up a memorandum contract which would be suitable to both parties.

The Vice Mayor appointee Mr. Carson, City Manager Mr. Wilcox and City Engineer Mr. Brown.

Reconvened at 7:30

The memo contract drawn up by the committee and representative of D. P. & L. eliminated the penalty clause in the contract and stated that the D. P. & L. would furnish excess electrical energy to the City of Dover on what is generally known as off-peak, namely from 11 P. M. to 7 A.M. and from 12 noon on Saturday to 7 A.M. on Monday, also that the D. P. & L. would furnish all electrical energy in excess of what the 2500 KW Turbine would produce. That either party could terminate the contract at the end of two years by either party giving written notice 12 months in advance but that the City of Dover could not purchase any additional generating equipment for the first 2 years of the contract. They could however purchase land, design & draw plans for a new plant or additional equipment. By a voice vote with one dissendry vote, council decided to consider the proposed memo contract and that the City Solicitor meet with attorneys of the D. P. & L. to draw up the full contract.
